Terms & Conditions of Sale – KHT UK Limited


1. Acceptance of Terms

All orders placed with KHT UK Limited (“the Seller”) are accepted subject to these Terms and Conditions. By placing an order, the Buyer confirms that they are acting in the course of business and not as a consumer. No binding contract shall exist until the Seller confirms acceptance of the order.

These Terms apply to all sales unless otherwise agreed in writing.

2. Pricing

All prices are exclusive of VAT unless stated otherwise and subject to change without notice. Goods are invoiced at the price ruling at the date of despatch. Delivery charges are not included unless agreed.

3. Orders

Orders must be submitted through an agreed ordering system designated by the Seller. All orders are subject to availability and confirmation. Minimum order quantities and delivery schedules may apply.

4. Payment Terms

Payment is required via:

- Prepayment

- Approved credit terms (e.g. 7–28 days)

Failure to make payment may result in suspension of supply and interest charges under the Late Payment of Commercial Debts (Interest) Act 1998.

The Seller reserves the right to withdraw credit facilities at any time.

5. Delivery

Delivery times are estimates only. Risk in the goods passes to the Buyer upon delivery. Goods must be checked and signed for at delivery. The Buyer is responsible for ensuring appropriate storage and handling of goods immediately upon delivery.

6. Claims & Shortages

Any discrepancy, damage or defect must be reported at the point of delivery or within 6 hours of delivery, supported by appropriate photographic evidence. The Buyer is responsible for inspecting goods immediately upon receipt. Claims made outside this timeframe may not be accepted.

7. Returns

All goods are non-returnable due to their perishable nature, except at the sole discretion of the Seller.

8. Liability

The Seller shall not be liable for any indirect or consequential loss, including loss of profit or business interruption.

Liability is limited to the replacement of goods or the invoice value of goods supplied.

9. Force Majeure

The Seller shall not be liable for any delay or failure to perform its obligations due to events beyond its reasonable control.

10. Cancellation

Orders may only be cancelled with the Seller’s prior agreement. Costs may be charged if processing has begun.

11. Export

For export orders, the Buyer is solely responsible for compliance with all import regulations, customs clearance, and documentation requirements in the destination country.

The Seller shall not be liable for delays, rejections, or additional costs arising from customs or regulatory issues.

12. Governing Law

These Terms are governed by the laws of England and Wales.

13. Retention of Title

Goods remain the property of the Seller until full payment has been received.
